Hello Daniel, In response to what one needs to do to open a mortgage company, first it is need to take some mortgage brokerage classes then affiliate your self with a net branch operation. The mortgage brokerage business is very competitive especially in today market with interest rates expect to even higher. It is very rewarding to successes in the mortgage business as I am retired after some 30+ years as a contact conventional underwriter for major banks, the secondary, the mortgage insurance industry, small investing groups and for Wall Street investing firms. The second question is a lawyer question. I'm not one. However I will say it's my understanding and practice (thus far) to be paid a release fee to give your contract rights to an end buyer, whereas assigning is acting as a real estate agent - which could still be okay given that you are an agent.

Double closing is still the purest approach, but has greater transaction costs. Regardless of your position on assigning/releasing, a double close can be valuable if the difference in prices is enough to make one of the parties bulk.
