Great question. In speaking with some multi guys I know, replacement value is a factor they take into account.

I was in a situation just like this in Los Angeles, a few months ago.

The broker wanted me to make an offer on an empty 13 unit @ $150,000 per door. There were no comps available for this place, a building that sat, unoccupied for over ten years and which no doubt had serious deferred maintenance issues.

I passed.

As to where to form, ALWAYS form in the state in which you are doing business, in this case, IL.

As to the series LLC's, they are a great option for those states that currently recognize them.
