You also need to consider whether you'll be selling investors straight in to the cap table of the issuer or, instead, if you're intending to serve as an intermediary and use something like a SPE to take their money in and invest on behalf of the entity as one item on the issuer's cap table. 

It wouldn't hurt to speak with lenders and a qualified intermediary (for the 1031).

One option is that you have the note drafted to you and at closing you bring the value of the note to the closing so that the QI (Qualified Intermediary) holds all of your Exchange proceeds.

I now have a couple of solid sources, a list of intermediaries that I won't work with, and have a nice list of both smaller buyers and larger scale buyers.

Can't wait till that note pays off and I just use them as an intermediary.

A big part of why I got my license was to make it easier to communicate, and skip an intermediary.

The wholesaler thats bringing the buyer is the intermediary between the original wholesaler and the buyer.
