What is a good way to negotiate and have the seller pay the closing cost of the deal?

When you refinance and take money out of your property its not a second mortgage on the property right? It just adds to the loan your originally already had? Please help me understand this.

Can someone give me a good example of how someone could overleverage themselves in Real Estate. I just don't understand how this could happen because wouldn't the bank see that and not loan you the money for the deal?
