The people on this thread gave great advice.  I would also say don't be afraid to bring someone into the deal with the knowledge/resources to help you put it together.

Even if you have to split the deal, 50% of a deal is better than 100% of no deal.  You will probably learn a ton in the process especially if this is your first deal.
