Initially we set it up as a partnership LLC, but after consulting with our CPA we realize that we could have and should have done it as a single-member LLC so that we don't have to file a 1065.

The purpose of my entity is to club together several investors and make a singular, passive investment in a commercial real estate fund (the fund is organized as a Limited Partnership). 

For buyers or their brokers with well capitalized investors, inquiring directly for verification of a property whether it has an assumable note is good practice while interest rates remain elevated. 

Most lenders do not like these lower property values because they are too risky of an asset class, little return in interest and fees, and long term financing will be an issue as well.

In my opinion, this largely comes down to how you or your parents will be filing your taxes.

As well as moving from higher cap ex exposure to lower cap ex exposure.Cash flow may go down but when the other components of the IRR go up ( appreciation, depreciation, and amortization of the loan) your IRR goes to the moon and more than offsets any drop in cash flowJust make sure you stress test and can withstand any drop in cash flow.
