Pass-Through Legal Entity Tax Considerations

Gordon Harris
Posted

I am trying to create a 100% pass through legal entity that will not be subject to any taxes or obligations to pay anyone within the entity a salary. The purpose of my entity is to club together several investors and make a singular, passive investment in a commercial real estate fund (the fund is organized as a Limited Partnership). If I form a LLC, I do not want to be subject to self-employment tax. If I elect the entity to be designated a S-Corp, I do not want to be obligated to pay any shareholder/member a meaningful salary. Any suggestions on which route may be the best for me? Thank you in advance for your advice!
