My point is, depending on where you are at with your income, it sometimes makes sense to use an LLC treated as an S-Corp to minimize the NIIT tax because the income you are generating from your real estate is being reinvested. 

Doing a U & O isn't about being a mean seller, it's about protecting your own interests and not wasting all the time you have on this deal just to say in the end, "I don't want to be mean."
