As I understand I could for sure if I lent the money or we formed formal partnership where I was a passive partner, but what about the arrangement I described above?

You guys have basically created a general partnership.The general partnership will file form 1065 with IRS.

It's not a balanced partnership at all and because he is in the place, he will feel that his decisions are better.

So my question is how do we properly structure our financing and refinancing for our three way partnership?
