When I say "Passive" I mean someone who invests in managed opportunities (ie. syndications, joint ventures, etc) and gives someone else control over the day-to-day management and decision making.

How do I structure a joint venture agreement? 

When I did the investment in draws, we put it in a joint account so they can see the money is there and they will send us pictures ( so we can see the progress ) when they need to draw.

This investor has promised me a nice fee for bringing him a deal that closes, but maybe it would be best if you and I did a joint venture as I've never worked a deal with this buyer.
