The purchase contract should provide that they have authority to enter into the sale and complete the transaction and that they will provide documentation to evidence the same (certificate of good standing, corporate resolutions, etc).

Everyone will want a resolution and someone will send you a check.  

It may cost you, but he will give you a solid headups going in as to his thoughts for a resolution.
