The catch all in Dodd-Frank is "any scheme or method used with the intent of circumventing the Act" the intent of the exemption is to allow some reasonable number of dealers, mainly small dealers or homeowners to be allowed to conduct such business, this really is anchored in the perception of public policy I think, a few deals may get someone shafted, but OTH, there is more public good that comes from allowing these exemptions in the bigger picture.
