My legal advice is that this is most likely fine but is a bit of a gray area in RI.  

Whenever I think something is going wrong in a deal, I just think about the deal where I kept the seller in it, and the problem de'jour melts away by comparison.It ended up making money, but was such a stressful drawn out drama of arm twisting and posturing that I think I started going gray before that deal finally closed. 

I think it looks like a gray area with many Attorney's having different opinions about the interpretation.Dave

Win or lose, a lawsuit is expensive and damaging to one's reputation.Clearly, some like playing in the gray area or trying to create a gray area.
