Hello All!

I have a single-member LLC which is currently classified as a disregarded entity for taxation purposes.

If I add two partners as members to the LLC, what is the required procedure in order to update the IRS that the LLC is now a Multi-Member LLC?

Thanks in advance.

Hello,

I am a member of an LLC, and my former partner, which is no longer a member of this LLC, registered the LLC and filed a request for an EIN with the IRS.

Since he is no longer a member of the LLC, he was removed from all articles of organization and our operating agreement, however, his name is mentioned in the initial EIN letter.

My question is if the fact that his name is on the EIN letter has any implications on any of the LLC's activities, and if so, how is it possible to completely disassociate his name from the LLC.

I appreciate any input you may have.

Thanks,

Nadav Ben-Horin

Hi,

I am about to purchase an investment property in PA and was wondering how do it know that i will have Fee Simple Ownership of the property once settlement, deed recording and title transfer is completed.

Should there be a clause in the purchase agreement indicating the type of ownership i will have or is that aspect of ownership and terminology relevant for completely different purposes ?

Thanks,

Nadav Ben-Horin

URBADOMO LLC

Hi,

I opened an LLC several months ago, but misspelled the name when i opened it.

When i wanted to start doing business with this LLC, i realized that the LLC was registered with the wrong name in the city, state and IRS records.

After filing a certificate of amendment with my state, the name of the LLC was adjusted and the city/state records have been updated with the new and correct name.

I would like to know where i can find out if the IRS records were updated aswell following the certificate of amendment, and do i need to file any specific forms with the IRS in order to change the name in their records?

Is there anyone here that dealt with this issue before?

I currently own an LLC that owns 3 properties in Philadelphia, and i would like to transfer them to a new LLC that i recently opened, and close the old one due to a new operation that i am putting together.

I would like to know what is the best way to transfer the deed, and if i will need to pay the Real Estate transfer tax

I know that there is a thing called a quitclaim deed, which waives the real estate transfer tax but i'm not sure if a quitclaim deed is the way to transfer property between llc's.

What do you think?
