Interesting discussion regarding an accepted offer being an executed contract. I AM NOW COMING AT YOU WITH MY LEGAL HAT ON. Does an accepted offer constitute an executed contract? The Answer: IT DEPENDS!!!!

It depends very clearly on the words in the offer and THE CASE LAW IN THE JURISDICTION THAT YOU ARE IN!

This is why you must always have local counsel review your documents. IN Massachusetts, there is a famous case where a buyer and seller were bound by the terms of the offer because it did not clearly say that the offer was being made with the intent of both parties creating a subsequent contract for purchase. The offer contained all necessary wording to create a contract. The deal was getting done. (See McCarthy v Tobin, 429 Mass 84).

Find yourself a good local attorney that will protect you every step of the way.

@Donald Robers Excellent points Donald. Spot on!

@Account Closed stated, all veils can be pierced, just depends upon if you are truly running it as a legitimate entity or just a shell to hide assets (among other things).

Also, as David stated, the issue regarding invalidating your title insurance policy by using a different entity can be easily resolved in a title exception letter drafted by your attorney prior to closing.

Finally, I agree with @Crystal Brooks. You should contact Scott Smith. He has been on my podcast and knows Texas law and always recommends the LLC and Series LLC.

@Anthony Gayden Wow. These posts are all over the place. There is a reason why there is an Inspection Contingency in contracts AND an AS/IS rep in the same document. One does not trump the other or hold more weight. For those of you claiming that the AS/IS means you take the property with all its faults, what do you do if you find out that the neighbor's driveway is entirely on your land? Do you get to renegotiate? Well, according the to 'AS/ISers', you should not be allowed to. Well, sorry folks, that's not how it works.

The Inspection Contingency gives you a window of opportunity to look behind the curtain and see if the seller's baby is as pretty as she says it is. If it isn't you have freedom to walk. If you walk, then the deal comes "out of contract" and the parties are essentially back in their pre-contract position - FREE TO RE-NEGOTIATE THE DEAL. 

There is nothing wrong with this provided that the parties entered into the agreement in good faith. Due to the fact that most inspection contingencies in contracts allow you to walk for any reason, proving bad faith is hard to do. The opposite is true though if you try to walk from a deal using the financing contingency when you have not even applied for a mortgage or engaged a lender. Courts have a harder time buying that excuse and you may be charged with breach.

Do not enter into contracts lightly.

Jake, my question to you would be how much are you looking to invest? DO NOT ANSWER THAT! My point is that if you are not looking to invest with enough to be your own sponsor, then working through a fund may be a good way to start. If your objective is to be your own sponsor, then HOARD YOUR CASH and learn as much as you can about the business. Obviously, my recommendation is lacking many points that would be important to making a solid determination but the best advice is when in doubt, DON'T!
