A lot more goes into a successful capital raise than can be posted in even a few posts. To do it in compliance with securities laws you will need to file Form D with the SEC in Edgar. That's not a huge deal. You will need a Private Placement Memorandum. You will need an Investor portal and system for vetting Accredited Investors but first you will need to decide whether you want to do it under 506(B) or (C). With B you can have unlimited Accredited Investors and up to 35 Sophisticated. You cannot solicit or advertise. With a (C) you cant have any Sophisticated but can solicit including on social media and hosting seminars.

You will need to have a solid operating agreement, pass the bad actor check (SEC), be an entity and show your potential investors that you have the capability to be successful with their money. You also need to decide between debt and equity. Most investors will want equity. Lenders want debt. Than if you are doing a syndication you will want to have clear bios on the General Partnership team including their roles and responsibilities.
