Structuring and legalizing private money

Hello all,

I am new to private money and would like any and all input on private money. I have a few friends that are willing to put money together to fund deals.  how do we structure this and what legal steps do I take to ensure everyone is covered in case anything happens.  Should I find a real estate lawyer to write up a legal document?  Any lawyers in the Twin Cities, MN that you guys recommend? Thanks in advance.

    If everyone investing with you is truly going to be active investors; you can form a joint venture partnership. Any real estate attorney should be able to structure that. If there are going to be passive investors; you are now forming a security and you need to enlist the services of a SEC attorney.
