The Manager is the fiduciary or officer of the LLC, and as such has a strictly administrative role.Writing checks, wiring funds, handling funds, signing contracts and maintaining the assets of the LLC is all part of the Manager’s role and authority.

We've also butted heads quite a bit in what feels to me like a power struggle because he's rather arrogant (he believes he's among the best contractors in Atlanta and in the entire state of Georgia, despite no evidence that that's the case), very headstrong about wanting an equal share of the business' profits and an equal level of authority, despite the fact that he's clearly not pulling his weight and is slowing things down dramatically.

Thanks for your clarification.It was the capital “H” that threw me off and made me think that you were referring to one of the 19 official named neighborhoods, many of which I’d never heard.

I assume there's some official wording I need to use in a cover letter to let them know I'm terminating the existing lease and replacing it with the new lease.

If you aren't the owner or, if you don't have 3rd party authorization from the owner, you aren't going to get that information.

If you do form an entity a lawyer/best selling author in a webinar I recently watched recommended an LLC as the best and most flexible investment entity - covers the liability issues without compromising tax advantages or adding many layers.
