With the intent to raise capital, even a discussion about anything is covered.One does not need to offer a Private Placement Memorandum, Offering Documents, or anything else to have a perfectly legal offering exempt from securities registration.

For maintenance I just went with a number that seemed reasonable to me after talking to several investors.I'm not claiming that these numbers will work out perfectly.

As John mentioned, assigning contracts can be perfectly legal, that is when the buyer has the intent and ability to actually buy as agreed under the contract.
