My CPA prefers LLCs to S-corps because there's no arguing with the IRS about the S-corp election.

You also won't have to argue as much about the price you are wanting because you are offering the financing!

But I don't believe it and have been arguing that wealth is not destroyed until there is material destruction (i.e. a house burns or a car is totaled).

I may be showing my age here, but do you remember a tv commercial for beer back in the '70s where Yankees owner George Steinbrenner is arguing with some guys about whether Miller Lite is "Less filling" vs "Tastes Great?"

If you name the llc someting other like, abc investments llc, you should be fine.

The other side may argue that you didn't exercise due diligence.
