We go out, run numbers, I have internal knowledge they will take 45,000 for the place (if it was listed it would go at 79,000, but I'm not the sellers agent so all is good).

Now we are there part time and looking to possibly rent it again part time but really looking more at the intern, health professional, moving population.

I do not believe private money has lending rules which govern seller contributions; however, they will have their own internal rules to regulate it. 

Also, the state of formation is likely where internal disputes would be brought among LLC members, so if you and a partner and/or spouse live in CA, you probably want to arbitrate in CA if the two of you had a disagreement.
