It is $200k minus closing costs plus recapture of depreciation taken over 9 years, which could be some $40k of additional taxable gain.But, barring some complications that you have not mentioned, your gain on D should be offset by your suspended passive losses on A-B-C.

I haven't seen the agreement but using the structure as you outlined, here is what would normally happen (barring any surprises in the language):  You would receive 100% of all distributions until you have been distributed an 8% annualized return on your investment.
