It's important to note that you cannot include your primary residence in a 1031 exchange, as it must be held for personal use rather than investment or business purposes.However, your primary residence may qualify for the Section 121 tax exclusion if you've lived there for at least 2 of the last 5 years.

I even identified a viable property to do this already, but may not have my ducks in line yet to execute with a group.If I can get a fund going, I plan to scale it and do more of these projects since I have the blue print to do this over and over, but just need cash.

These documents include your operating agreement/ corporate bylaws, articles of organization, certificate of standing, and the EIN letter. 

To me that is negative cash-flow, because I include hard and soft expenses.
