In the end he made less than he wanted , but more than if the deal didnt go thru . ( He didnt like me much , but I am not in the business to make friends , I am in the business to make money ) .

What made you interested in investing in this type of deal?

I am not sure the barrier you feel exists is as great as you perceive, or possibly doesn't exist at all. 

I've seen some logical points made that under estimating Cap Ex may not be realized until many years later when a few larger than expected expenses eat up years of "cash flow".

It may make you feel warm and fuzzy that you have them "locked in" for 2 years, but its an illusion.

Again, other might feel differently here.b) Skin in the game: as a conservative investor, I understand that the dirty secret of industries that the waterfall compensation is in the line with me and incentivizes sponsors to take more risk.
