Seller made more money selling to me directly. regardless of EM  deposit if a person or entity goes into contract and does not have the ability to close on their own or intent to close even if they cant find another buyer.. then the contract yes is Voidable there is no contract.nothing wrong with making a back up offer though.. we do this all the time.. if the person in contract cant close for some reason we are next in line..
