I don't know if carry forward depreciation shields this, but I figure in this forum, there is a higher likelihood of people qualifying than in the general public.The thing is, we don't know the true cost yet, because a) not all the regulations are written yet, b) they deliberately set it up so that taxes were to be collected for 10 years but benefits not paid for first 4 years and CBO can only score 10 years into the future, and c) there no way to predict what companies will drop health care plans and force us to buy government insurance.Whether you think we need government controlled health care of not, I go back to my principle point: if its constitutional for the government to force us to buy insurance because we are US citizens, then they can also require us to buy broccoli, hybrid cars, more than 25% foreign goods, and work specified hours.

so get your self a financial calculator and run PV on those terms and you will see what the cash value of your note is.. "...sell for yields in the 20 to 30% apr range." is a bit foreign to me.

Also theres huge benefit in term of taxes, the more LLC you have the more you spend the more expenses you right off.Theres also a better and common way to protecting your asset by having a parent LLC from Wyoming or Nevada owning all of your LLC, reason for that is those 2 states have tougher laws to penatrate during a lawsuit, but dont quote me on it.That's not precisely true, you may need to file a foreign certificate, but you don't need to form a local entity.Lots of good advice in this thread, lots of bad advice too.

OH courts may or may not recognize outside LLCs in the same fashion, but this is a legal research question that should be conducted by someone who has experience researching on WestLaw or LexisNexis...Google research is not something I would rely on for my assets. 2)  If you live in CA, you would want to register the OH LLC as a "foreign entity" in CA, and to echo what the others have mentioned, yes, you'll then have to pay the $800 annual FTB fee.
