Some landlords clean themselves, but it is hard to substantiate your time or hourly rate if it is disputed.

Also, the state of formation is likely where internal disputes would be brought among LLC members, so if you and a partner and/or spouse live in CA, you probably want to arbitrate in CA if the two of you had a disagreement.

If there is potential for a cooperative resolution I would pursue that first.You need to see a lawyer to figure out the current status based on the agreement and also to get it resolved.

If the buyer backs out, I'd rather have that happen than keep a secret that will surely be discovered later and result in a dispute.

Its really no big deal because you are 100% in control and its not like you will get in a dispute with yourself, so you will only need Articles of Organization.
