Basically, you want to protect that equity is someone sues you for an accident that took place in 1 of the many properties in that one LLC?

They probably worked really hard during their 40 years in the biz, and maybe even dealt with some horrific situations that they don't wish for you to deal with.

So even if you pick a state with stronger protections like WY or NV, the cause of action arose in the state where the tenant fell, so likely that the court where the accident happened would have jurisdiction.

It would be like renting a car and them saying "you're responsible for damage if you have an accident" which I'd fully expect to be the case.

It can come from a car accident or a guest that hurts themselves at your house party or numerous reasons... 

When you do a partnership you take on all exposure your partner has, even car accidents and other foibles.
