The second company had a PM contract and due to other reasons we did not continue their services after a couple of months so tax stuff did not arise.

In fact my last completed purchase (I am under contract now for a different purchase) was huge negative cash flow.  

I am under contract to buy and flip a house that I am paying $615K for. 

Perhaps we "buy" the house from them for the $328K balance to satisfy the lender and don't need a large down payment and then have a separate contract with them to pay $x per month until we've paid the full $172K amount.

Although it isn't some miraculous contract that will hold a buyer hostage, there can be repercussions to you and/or the agent you eventually earn a commission with.

I know it is by means of assignment free in an assignment contract, however, what troubles me is understanding the process of assignment free.

Hello everyone, I have recently gone under contract on a property and was able to agree to a private loan with a family member to purchase and renovate.

My agent is saying that we are unable to split the contract that way (or reduce the purchase price), so I'm trying to figure out options.

In any contract you don't typically need a clause saying what you CAN do, its assumed you can do anything legally allowed as an owner including sell.
