If you transfer to an LLC then 1031 right away some practitioners might shy away from that because some states may say that the LLC did not hold for investment purposes (Personally, this would not bother me).

@Roshan Taheri If rental real estate income does in fact qualify for the pass-through deduction -- and there is no chapter and verse on that although most practitioners are operating under the assumption that it does -- you will get the deduction regardless of whether you hold it in your name or through an LLC (as long as the LLC has not elected to be taxed as a C corporation).

@David Fritch Thank you, ethically as a licensed real estate practitioner I inform the other party that I have multiple LOIs but that is just a personal work ethic and not the norm.
