The good thing is that my co-owner and I are on decent terms, and both want to devise a fair solution in this separation.  

It sounded like the team working on the loan wasn't motivated to close as the usual path on these situations is to find a solution with the sellers to get the loan done. 

Are aware of any software solutions/service provider for managing C-corp operations like payroll processing, book keeping etc ?

@Allison Adams just wanted to add that any time you’re repair/replacing something like this think about “hardening” your unit … whatever you choose to do, make sure solution leads to less hassle in the future.

What's the best solution out there for managing document exchange?  

Analyze over and over again what went wrong and look for possible different solutions and outcomes to learn from for future reference.
