It's a win-win for you.All of this is somewhat complicated bankruptcy stuff though, so get a good attorney. thanks Justini will get an attorney to talk to then.but as our contractual relationship with the seller is just the agreement of sale(AOS) so far, if we want to push forward, can we file a case in our district court and force the sale to happen then force the seller to bankruptcy and state get the remainder, net of sale amount - bank debt.?

If you have pipes run in insulated cavities or runs that are mostly beneath ground level, I wouldn't be too worried as the ambient temperature wont drop as drastically as the exterior.
