You can change ownership interests to compensate one party vs the other (depending on the value of $ vs. services to be provided), or you can simply pay the contractor for services rendered.

They should be confident that once their services have been rendered, you will be pleased and pay the appropriate fees.

Having said this, I would think folks realize that BP is by a long shot NOT the ideal place to discuss contract / legal questions, rendering an opinion on which requires professional licensing.
