On AVVO the same question was asked by someone who owned 4 rental houses in Texas and the unanimous opinion of the responding attorneys was that renting out residential properties constitutes transacting business under Texas law and the entity should register as a foreign entity.

They surely haven't considered the impact to their property values and crime rates if/when the malls close down and that property sits vacant.There are people against every big development and there's no way to get unanimous support from a city/neighborhood.

ET June 18, 2015WASHINGTON — The Supreme Court ruled Thursday that cities and towns generally cannot limit roadside signs based on what they say.The justices unanimously said the town of Gilbert, Ariz., violated the First Amendment by giving signs promoting a church's worship services vastly inferior treatment compared to political campaign signs.Writing for the court's majority, Justice Clarence Thomas said the town law limiting the size of the church's signs and the length of time for which they could be displayed was a "content-based" restriction on the church's speech.

@Eric Gunderson, Yep - It's unanimous:)  You cannot exchange into improvements on property you already own.You could refi the property instead of selling and use the proceeds to build.

My reading of point #2 is that you could receive approval for your 4 unit condo project if you obtain consent/agreement for all the current owners in the subdivision (since I'm assume the original subdividers have passed on).I agree with @Alex G. that you would need unanimous agreement to have the restrictions completely removed.
