Keep Calm.

The numbers are awesome and I have a great performa with a waterfall that gives the investor an IRR of 16%.  

Once, when I was in a tight squeeze, or actually standing in the basement up to my knees in water in the middle of New England winter and my usual money guy was on vacation out of reach and I did not have immediate funds, I decided to stay as calm and persuasive as possible and find a contractor who could help me fix flooded basement and who was well off in his business that he was not desperate for the money to feed his kids.

@Uyenchi Ho  Be the 4 C's - Calm, cool, collected, and confident; and you'll be just fine. 

It is during the MOVING PHASE, that you must be cool, have all your wits about you and be prepared, yet still be cordial so as not to enraged the monster that seems to be lurking in your Tenant during the MOVING PHASE (as there is NO ANTIDOTE to calm the savage beast once it takes form).

When making a case in court, or whenever you speak with your landlord, stick to the facts and speak calmly and politely.

Each deal and sponsor is different and you want to read the offering prospectus/placement memorandum very carefully when it discusses management compensation, profit split (referred to as waterfall usually) etc.

Its the calm before the storm!!

Since I only been to a few is there any way to calm your nerves, or find the right price point?

I have seen several Excel Waterfall model that will calculate the distribution of cashflow on the web.
