I am sourcing private money to close.

Most people will tell you that your second choice can't be done, but the IRS has issued two (2) Private Letter Rulings on point where they did allow the taxpayer to build on property they already owned through a 1031 Exchange. 

If you had a private money lender, how would you structure a deal with them so you both win?

@Raphael Pangilinan before looking at hard money have you thought about private loans?

You can settle privately with your partner based on your agreed ownership split, but you will handle the entire tax liability.

I already have a couple potential deals, but the biggest hurdle I'll face is finding a private money lender who's willing to lend to someone with minimal experience.
