You don't say what state you live in - but I am betting that your state also has laws on the books regarding Boards of Directors, maybe HOAs specifically, etc.

Last, make sure bringing your IRA in on the deal isn't providing you some kind of Direct or Indirect benefit other then what is owed to you based off of your interest on the investment.

@Chris Schlechta  Either of your proposals creates a direct or indirect transaction or benefit between your IRA and you as a disqualified party and would therefore be prohibited within an IRA.
