My husband and I have a property under contract that's held in an LLC that we are both (and exclusively) members of. We have the home currently under contract, and are in need of a basic operating agreement. Any resources for a template we can use? The WWW has a lot of complicated options! PS- We're in Georgia.

I am reviewing the contract for a new property manager for a rental condo. Should I be worried about this section under the liability portion? It seems a little too open to me. Does anyone have any thoughts or recommendations? An attorney's point of view would be great or an experienced landlord. Thanks!!

 "Owner agrees to hold Rental Manager harmless from, and to defend Rental Manager against, any and all claims, charges, debts, demands and lawsuits"

Liability of Rental Manager. Owner hereby agrees to hold Rental Manager harmless from,

and to defend Rental Manager against, any and all claims, charges, debts, demands and

lawsuits. Owner agrees to pay Rental Manager’s attorney's fees related to Rental Manager’s management of the herein-described property and any liability for injury on or about the property which may be suffered by any employee, tenant or guest upon the property. Owner agrees to maintain sufficient and prudent all risks property insurance and that the Rental Manager shall be an additionally named insured. Owner shall provide a copy of such insurance policy to the Rental Manager for the Rental Manager's records.

I'm not sure of your exact business, but it sounds to me like you need a commercial broker who specializes in retail and is deeply knowledgeable and connected in your market. If you need a referral, I can recommend a couple of good ones in Orlando. Again, I don't know your exact business, but you might want to check out ICSC. The annual deal-making conference is coming up, and is very well-attended. http://www.icsc.org/events-and-programs/details/florida-conference3. Retailer One on One is also a good one. http://www.retaileroneonone.com/. If you need an architect, I can recommend a great firm for this segment - especially if you have a multiple site rollout. Feel free to message me.

@Sheena Varghese, check out their website. They have a ton of different focus groups; one for each county, and then groups for various investment strategies, such as Landlording, money 101, etc. These groups are smaller too. The women's investor group has their meeting this Monday during lunch. I think it's members only though. All the info is on the website. CFRI.net. They're definitely good for those starting out.

CFRI is this Wednesday at Edgewater High School in Orlando. It's always a good one. There's also a newer group that I haven't been to yet, but I've heard good things about it. http://www.goreia.com
