Bill I agree with all you've said. Thanks for the clarity. I guess the final option is to buy the guy out and not even sell the property, if we can get the financing to do that.

Either that or just sell and take the tax hit now, get it over with and start fresh.

This has been a good discussion, thanks to both of you. So what it's looking like is that we should do a 1031 exchange to buy our next property with the same S-Corp, then buy out the partner, then consider forming an LLC and have the S-Corp transfer the property to the LLC. Am I getting warmer?

Ok this is all great info. But how would it have played out differently if an LLC owned the property? Wouldn't the LLC also have to buy the next property to do the 1031 exchange?
