It's a good question and I used to be confused by the two myself.

I spoke to a lawyer about this and for smaller projects, syndication is too expensive and cumbersome a process to use. 

He and his also lawyer wife do similar development projects where they bring in equity partners. They will be handling all legal documents we will require on our projects. 

As I understand it, syndications fall under much stricter guidelines as defined by the FTC and SEC. This is because the investing entity collects $ ahead of selecting a project and then invests it when a project is found. So its about this holding of other peoples money ahead of time that things get interesting to the regulators. Also the amounts of money are much much larger. 

In our case, we send out the project information and invite in pre qualified equity partners in. We simplify the "buy in" by offering shares.

Dear BP Community, 

I am teaming with a great agent friend locating properties to buy hold outside of Philadelphia in Pa.
We are looking at larger packages of properties, multi family, mixed use.
Our plan is to lock up properties that are a fit, create offering proposals, bring on investors who want to buy in.
We try to keep the shares prices between $20K and $30K per and there may be 5-10 shares to sell depending on the project. For most projects it seems to work out to 4 or 6 shares.
We use the cash in for equity to purchase a particular deal shareholders sign on for.
We put the lending together for acquisition and any renovations if needed.
We stabilize the property and get it under management.
As the property cash flows share holders get a % of the rents.
As the property is cashed out refinanced, share holders get the price of their shares back plus any profit, then continue to collect rents with zero $ in the deal.

I am interested in learning the ins and outs of owning industrial property. 


I need help analyzing this deal. 

15,600 sf of space 

asking price $325K

needs $125K according to the agent (new roof, clean up, paint other) 

tax $8600

ideally the tenant will pay for % or all of build out, maintenance, taxes and insurance. 

looking around this area I do not see rents higher than $2-$3 per year for basic industrial. Also our clear span is only 10'-18' but we do have 1 loading doc and a few bays. 

When I run this through a property calculator, its not such a great deal (cash flow) until we get closer to $200K purchase price. Or am I missing something?
