Closing without LLC docs??

Hi I have a deal ready to close but the seller can’t find his Inc. docs., I have his EIN #, searched the PA site, original title company that he purchased with, and current title company is at a standstill. Any suggestions??

A certificate of existence/good standing can be purchased online by the seller and provided to the title company along with a resolution signed by all members approving the sale and appointing an authorized signatory (and including an indemnity).

As long as the proceeds are being sent directly to the entity seller's bank account, there is literally zero risk here. Good luck.
