Finance Question direct lender vs private

I am trying to get a deal funded, and have received 2 different offers. One is from a direct lending company. 12 month term 9% 70 LTV. The other is from a private lender and I am not quite understanding all the things on his list. The one from a direct lender I have been working with a broker on, and understand everything completely. I have foward the offer from the private investor to her also and have got mixed feeling from the broker because the offer I have is from one of her best guys and I should jump on it. If anyone would be able or willing to help me understand what the private lender is stating the in contact could you reply with your email or shoot me a message. I will forward what I have from him.
