What is the protocol for a limited partner whom wants to exit the investment?

In a syndication with multiple limited partners, what is the protocol for a limited partner whom wants to exit the investment? Is a good way to structure the partnership to have a general partner's right of first refusal, followed by a dutch auction? Opinions would be greatly appreciated.
