100% Membership Interests in the Company vs Straight Sale
Hello BP,
I am currently in negotiations with a broker on a multifamily property. Instead of a straight sale, the owner is rather selling 100% membership interests in the company whose sole asset is the property. I obviously will be reaching out to my bank to make sure they are okay and also consult an attorney.
What should I be looking for and what questions to ask as I prepare for the purpose of 100% membership interests?
