Need help structuring investor deal/relationship-Cincinnati

Hey BP!  I recently purchased my first house, a 5 plex in Cincinnati, and I guess one of my college friends father's has taken interest into what I am trying to build.  He is about to retire and wants to invest in real estate without being a landlord.  What are some of your thoughts on ways to structure the deal (we hopefully make one day) that is mutually beneficial for us.  Being this my first time I have been approached by a potential investor what is the best way to handle situations like these moving forward.  Thanks for your input!
