Seller is moving out of state for studies/ job; the owner tried listing this with realtors with 2 different companies and they both asked the seller to be prepared to bring in substantial amount of money to closing and the owner is not willing and also probably does not have that kind of money.Where do you expect to make your fee, a one time assignment to sub-let the property or are you expecting a monthly over ride from payments?

I'd suggest when yoy talk to your attorney about forming the LLC that you include, specifically all kinds of activities in your Operating Agreement and Certificate of Incorporation and not rely on that catch all description of doing all things.

Since there are people here saying this kind of option when combined with a short sale is known scam, and that agents might not know or understand what they are presenting to their client, I'd say stick with your original offer and see what happens.
