You are able to add different contingencies into the agreement for items that need to be taken care of prior to sale.

Might this have to do with their desire to capture more of the cash flow of the acquired properties?

With closing costs and carrying costs I will probably have left into the property around 10k - 15k but I would have captured 100k in equity and I’ll be cash flowing about $400 - $500 a month.

Taxes should not be a problem if you run all of the numbers and itemize on tax return.

Just off the top, I'm thinking ownership percentages, how the company decisions are to be made, what are the members specific rules or duties, tax provisions, and compensation are just a few of the items you'll be encouraged to have in the OA. 

I'd recommend some sort of itemized list from seller or "items as seen in listing pictures" etc so that you don't have any last minute surprises.
