The benefits are: the seller gets the sales price they want--his hesitation may be because he thinks the market will drop between now and two years from now; you get to purchase the property and may be able to negotiate lower payments through the seller with a balloon mortgage arrangement, reducing your monthly payments below what you would get from a traditional bank; seller should get enough 'income' from your debt payments to cover their own debt payments--this will not be sufficient incentive if the seller truly just needs cash for some other reason and isn't looking at how to make the most, long term, out of this property; seller holds the title on the property until you have paid in full (once you refinance within a few years) and if you default on your payments, they retain that title so have really lost nothing other than time, etc.

I also recommend that you arrange to do a lot of the non-skilled work on it yourself...it's what most of us do - even when we have the financial strength that we don't have to do it.There's no upside for a lender to take the risk on financing this.

Partner A brought ALL of the down payment as their contribution, and Partner B (us) did the finding of the unit (off market) negotiated things, arranged lending (that we all had to sign on) arranged tenants and do all ongoing PM needed.

(as I said - sorry to be negative)I hope your contract is contingent on financing and that you can walk with your deposit back.I have developed a system to make money in real estate without - agents, lenders, underwriters and all the others who want to stop or delay  me when buying real estate.I try to circumvent all of those by selling property I DON'T OWN - it a system of CONTROL AND ROLL - The system is simple - find a good deal - control it and assign it quickly for a profit.You may want to go back to the seller and explain why you can't settle as agreed, ask the seller to how some financing on a subordinated mortgage with a delayed payment subject to a first mortgage----Or ask the seller to refinance the building -and take the cash and let you take over the mortgage on a subject to arrangement with a note for the balance.Or you could offer a little more if he'd take back 100% of the financing on a "principal mortgage" that is a mortgage that is self liquidating - NO INTEREST.Or you could take an option to purchase - give yourself 90 banking days,  to settle and offer the building at a reserve public auction.Or you could put together a joint venture - raise money and pay cash or have a larger down payment - sometime in the future sell the building and pay off your partners.
