If you have no intention of actually buying it, tell her that... don't lead her to believe you signed on to buy it, if you are signing on to sell it to someone else.If you are actually a buyer (I am with my direct mail) you can tell her you will buy, for cash, at this price... 

@Paul LaSpina I am saying that unless he takes on ALL responsibility when it comes to signing off on debt, you have no GP/LP structure.

Generally, this means commercial properties with very good credit-worthy tenants signed on a very long term lease. 

Your primary lender will require your secondary lender to sign a document saying they get paid first in case of default.
