So when I read EXIT strategy, I take the O.P. to mean it, they want out, not to trade up.The Living Trust is really not an exit as it is a tax strategy to wipe the CG into a step-up in basis for the beneficiary and the property must still be held (and operated, and likely the desire not to  operate any longer is a strong motivator for the question).
